Making choices and meeting several legal requirements are part of the process of forming a company in Cambodia.

The steps taken in company registration
You will have to go through the pre-registration, registration, and post-registration stages, which are the three main phases.
Pre-registration
Before you can register the business with the appropriate authorities, you must fulfill a number of requirements. This includes selecting a legal structure for the company, choosing officers, leasing space, and writing the articles of incorporation.
Pick an appropriate business entity
Selecting the appropriate business entity is the first step in establishing an industry. There are six organizations in Cambodia, including:
- Single-person Business Partnership.
- Limited-risk enterprise.
- Small private enterprise.
- Company limited by shares.
- Private limited enterprise with a single member.
- Reprographic office.
Select the company’s officers
A public limited company must have at least three directors, while a private limited company must have at least one. The company director’s nationality is not subject to any restrictions. A single-member private limited company can be formed by one person and requires just two to thirty shareholders.
Registered Agent
A legally capable natural person who resides in Cambodia must be the registered agent for a business. The registered agent is qualified to accept official correspondence and court documents on the business behalf.
Constitutional documents
The following details must be included in the articles of incorporation:
- Capitalization levels (authorized, issued, and paid up).
- Organization’s business operations.
- Time since a company’s incorporation.
- Goals and purposes of the business.
- The business brand.
- The business location.
- The location and steps for holding a shareholder general meeting.
- The methods used to appoint, replace, and dismiss the board of directors and commissioners members.
- The process for using profits and paying dividends.
Registration office location
If the business decides to base its operations in Phnom Penh, it must register the address with the municipal office of Phnom Penh. The office must register the address with the Siem Reap Municipal Office if it plans to have its business address there.
The following documents must be submitted:
- Request form for the Mayor of Phnom Penh.
- Articles of incorporation in duplicate (if a limited company).
- A copy certificate copy and a copy of the Ministry of Commerce’s business permit.
- A replica of the applicant’s passport or identification card
- Land title or lease agreement image of the building’s entrance.
Registration
The business needs to register on the Cambodia Data Exchange (CamDX) system run by the Ministry of Economy and Finance (MEF) using online registration services. To register online, you must first create a user account, which calls for the entry of a name, contact information, and personal data. You must reserve a business name after choosing your preferred company type. The proposed names must be entered in Khmer, and they will be checked automatically. The name may also be registered in a different language, typically English. You must reserve the name after choosing your preferred company type. KHR40,000 is required to reserve the company name. The name will be reserved once you have paid for it, making it impossible for another business to use the one you have suggested. The name will be held for two weeks following approval if approved. The next step is to decide which Standard Industrial Classification (SIC) codes best describe your company’s line of operation. Then, you must submit the lease for the registered office as well as the necessary shareholder and director information. You will get the Certificate of Registration from the Department of Registration and Records once the MOC has accepted your registration.
Business seals
You must obtain corporate seals from a seal maker after the business has been registered, and they must follow the MOC’s recommended format. The MOC will subsequently register the corporate seal.
